Force Majeure

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Groningen, Netherlands.

The parties agree to attempt to resolve any disputes through good faith negotiations before pursuing legal action. If litigation becomes necessary, the prevailing party may be entitled to recover reasonable legal fees and costs.

Termination

Either party may terminate our service relationship at any time with written notice. Termination may occur immediately in cases of:

• Material breach of these terms that remains uncured after 30 days' written notice
• Insolvency, bankruptcy, or cessation of business operations
• Violation of applicable laws or regulations
• Failure to pay undisputed invoices within 60 days of due date

Upon termination, all rights and obligations shall cease except for those that by their nature should survive, including payment obligations, confidentiality, intellectual property rights, and limitation of liability provisions.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website with an updated "last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified terms.

For material changes that affect existing service agreements, we will provide reasonable advance notice and may require explicit acceptance of the updated terms.

Severability
